Master Services Agreement (MSA)

1. Parties

This Master Services Agreement ("Agreement") is between Blue Bear Edutour LLC ("Blue Bear," "we," "our," or "us") and the client identified in an applicable proposal, invoice, order form, or statement of work ("Client," "you," or "your").

2. Purpose and Structure

This Agreement sets the general legal terms that govern services provided by Blue Bear. Specific services, timelines, fees, and deliverables are defined in one or more statements of work, service orders, proposals, or invoices (each, an "Order Document").

Each executed or accepted Order Document is incorporated into and governed by this Agreement.

3. Services

Blue Bear provides education advising and operational support services related to U.S. educational programs, including schooling placements, summer camp planning/placement, and study-abroad strategy and execution support.

Services may include advising, preparation, application support, interview support, local coordination, transportation coordination, family updates, and other agreed operational assistance.

4. Parent/Guardian Authorization

Where services involve a minor student, Client represents and warrants that Client is the student's parent, legal guardian, or otherwise authorized to engage Blue Bear and provide student information on the student's behalf.

5. Term and Termination

This Agreement begins on the earlier of (a) the date Client signs or accepts an Order Document, or (b) the date Blue Bear begins providing services, and continues until terminated.

Either party may terminate this Agreement for material breach if the breach is not cured within ten (10) days after written notice. Termination of this Agreement does not relieve Client of payment obligations for services performed or non-cancelable third-party costs incurred before termination.

6. Fees and Payment

Client will pay fees stated in the applicable Order Document. Unless otherwise stated, invoices are due within seven (7) calendar days from the invoice date.

Client is responsible for all third-party fees and pass-through expenses, including but not limited to school/program fees, testing fees, travel expenses, visa-related costs, and local vendor charges.

Unless otherwise expressly stated in writing, fees already earned and third-party costs already incurred or committed are non-refundable.

7. Client Responsibilities

Client agrees to provide complete and accurate information, meet required deadlines, respond promptly to Blue Bear requests, and cooperate in good faith throughout service delivery.

Blue Bear is not responsible for delays, losses, or adverse outcomes caused by inaccurate information, missed deadlines, or lack of cooperation by Client or student.

8. Third-Party Decisions and No Outcome Guarantee

Blue Bear does not control and cannot guarantee third-party decisions or outcomes, including admissions, waitlists, scholarship awards, visa approvals, housing assignments, travel availability, or academic/performance outcomes.

9. Confidentiality

Each party will protect non-public information received from the other party using reasonable care and will use such information only as needed to perform under this Agreement, except as required by law.

10. Data Protection and Privacy

Blue Bear's handling of personal information is governed by the website Privacy Policy and applicable law. Client authorizes Blue Bear to use and share relevant parent/student data with schools, camps, vendors, and partners as reasonably necessary to provide services.

11. Intellectual Property

Blue Bear retains all rights in its pre-existing materials, methods, templates, and know-how. Upon full payment of applicable fees, Client may use deliverables provided by Blue Bear for Client's internal family decision-making purposes only, unless otherwise stated in writing.

12. Limitation of Liability

To the maximum extent permitted by law, Blue Bear will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

To the maximum extent permitted by law, Blue Bear's aggregate liability arising out of this Agreement will not exceed the total fees actually paid by Client to Blue Bear under the Order Document giving rise to the claim.

13. Indemnification

Client will indemnify and hold harmless Blue Bear and its officers, directors, employees, and agents from and against third-party claims, damages, liabilities, costs, and expenses arising from Client's or student's acts, omissions, misrepresentations, or breach of this Agreement.

14. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, epidemics/pandemics, labor disruptions, war, government actions, visa/immigration delays, school policy changes, or transportation interruptions.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Connecticut, without regard to conflicts-of-law rules.

Any dispute arising from this Agreement that cannot be resolved informally will be submitted to binding arbitration administered by the American Arbitration Association in Connecticut, unless both parties agree otherwise in writing. Either party may seek temporary injunctive relief in a court of competent jurisdiction in Connecticut.

16. General Terms

  • Entire Agreement: This Agreement plus all applicable Order Documents form the entire agreement between the parties regarding the services.
  • Order of Precedence: If there is a conflict, the applicable signed Order Document controls over this Agreement, and this Agreement controls over website Terms of Service.
  • Amendments: Changes must be in writing and agreed by both parties.
  • Assignment: Client may not assign this Agreement without Blue Bear's prior written consent, except where required by law.
  • Severability: If any provision is unenforceable, the remainder will remain in effect.
  • No Waiver: Failure to enforce a provision is not a waiver of future enforcement.
